About the Opportunity
An established international corporate and fiduciary services group is investing in senior corporate secretarial coverage in its boutique Singapore office, and the client base here is growing.
This is a rare seat with real ownership. You would act as company secretary for a portfolio of client companies. You would set up the entity database, the compliance calendar and the procedures, and shape how the desk runs as the office grows. It comes with direct access to the Managing Director, not a maintenance seat inside an established department.
The Role
You would own the corporate secretarial function end to end for a portfolio of Singapore private limited companies — roughly the scale a busy corporate services desk carries.
Day to day that means:
- Acting as company secretary for a portfolio of client companies
- Owning the full statutory cycle for private limited companies — AGMs, annual returns, XBRL filings, dividend distributions, and share issuances and transfers
- Maintaining registers, drafting directors' and members' resolutions, and keeping every entity in good standing with ACRA
- Managing the seasonal, filing-driven rhythm across the portfolio so nothing slips
- Building the function's infrastructure — the entity database, the compliance calendar and the procedures — with a real say in the corporate secretarial software the firm invests in
- Working directly with the Managing Director and alongside a small, collegiate client-facing and accounting team
What Makes You a Fit
- You are a Qualified Individual (QI). This is essential for the role.
- You can act as company secretary for a portfolio of client companies.
- You have solid Singapore private-company corporate secretarial experience — AGMs, annual returns, XBRL filings, dividends, and share issuances and transfers.
- You are at manager level and hands-on.
Helpful but not essential: experience setting up a corporate secretarial function from scratch, exposure to corporate secretarial software, and comfort working with an international client base.
